Tooling is both a production asset and a commercial dependency. A clear agreement should connect payment, custody, access, maintenance, changes and transfer rights.

A China supplier tooling agreement should be settled before mold charges are paid, not after the relationship becomes difficult. A purchase order that merely says “tooling fee” may show that money changed hands, but it may not define who owns the physical tool, who may use it, where it is stored, or whether it can be released to another producer.

Identify every tooling asset precisely

A generic reference to “the mold” is weak when several components or subcontractors are involved.
Attach photographs, technical drawings and an asset register after fabrication. Mark what is dedicated to the buyer and what remains standard supplier equipment. If a supplier contributes a reusable base or standard component, document how that affects ownership and transfer.
Separate ownership, custody and permission to use
Ownership does not automatically explain who keeps the tool or when it may be used. Define the legal owner, the custodian, the approved production location and the products for which the tool may be used. State whether the supplier may run samples, spare parts or units for anyone else. Confidentiality language should cover drawings, digital files, tool geometry and associated process settings.
If a trading company coordinates a subcontracted molder, identify the physical factory holding the asset. The buyer should understand whether the contracting company can actually obtain and release the tool.
Connect payment to evidence and acceptance
Divide payment into meaningful milestones where practical: design approval, fabrication progress, first trial, correction and final acceptance. Require evidence appropriate to the project, such as the approved tool drawing, trial report, sample measurements and asset photographs. Paying the final balance should follow agreed verification, not simply the supplier’s statement that machining is complete.

Define useful life, maintenance and storage
Tool life should be expressed with a relevant production measure and assumptions, not an unsupported promise. Record material, expected maintenance intervals, normal wear, storage conditions and responsibility for corrosion protection or damage. Distinguish routine maintenance from buyer-requested design changes and from repairs caused by supplier handling.
Ask for a maintenance log when the project has meaningful repeat volume. If the tool is idle, define inspection and preservation requirements so the next production run does not begin with preventable deterioration.
Control engineering changes
No party should modify critical geometry without a dated change request. Record the reason, drawing revision, cost, timing, sample validation and effect on interchangeability. Preserve the approved previous state where feasible until the new version is verified. The current production sample should follow the golden sample approval process.
Plan access, audit and inventory checks
Define reasonable rights to confirm the asset’s existence, condition and location. The practical method may be a dated photo set, video review, third-party visit or periodic tooling register. Evidence should show the asset number and relevant details without forcing the supplier to expose unrelated confidential operations.
Write the transfer and release process
A release clause should explain the trigger, notice, outstanding balances, preparation, export packing, documents and transport responsibility. Clarify whether standard mold bases, hot runners, fixtures or digital programs are included. A tool designed for one machine or factory may require adaptation elsewhere, so transferability is not the same as guaranteed production success.
State what happens when the supplier closes, the relationship ends, the tool is unused for a defined period or product demand stops. Decide whether destruction requires written authorization and evidence.
Protect quality after a transfer
Moving tooling changes process conditions, machines, materials and operators. Require a new trial, dimensional review and functional validation before bulk production at a different site. The tooling agreement should work with the supply contract, approved specification, inspection plan and private-label development process.

Does paying the tooling invoice automatically mean the buyer owns the mold?
Do not assume so. Ownership and use rights should be stated expressly in the contract and supported by asset records and payment evidence.
Can a supplier keep the mold after production ends?
